This Terms of Service Agreement (“Agreement”) is entered into between Reacher Platforms, Inc. (“Provider”) and the subscribing entity or business (“Customer”). By subscribing to or using Reacher (“Service”), the Customer agrees to the terms outlined below.

1. Subscription Terms and Pricing

1.1 Subscription Plans
The Service is offered under three plans:

  • Basic Plan: $129 per subscription per month.

  • Pro Plan: $349 per subscription per month.

  • Full Service: $2,999 per subscription per month.

1.2 Term-Based Discounts
Customers may select fixed-term contracts and receive the following discounts:

  • Month-to-month: 0% discount.

  • 6-Month Term: 5% discount on the total cost, paid upfront.

  • 12-Month Term: 15% discount on the total cost, paid upfront.

1.3 Volume-Based Discounts (Pro Plan Only)
For Pro Plans, the following tiered pricing applies based on the number of subscriptions:

  • 1–3 Subscriptions: $349 per subscription per month.

  • 4–8 Subscriptions: $299 per subscription per month.

  • 9–14 Subscriptions: $249 per subscription per month.

  • 15+ Subscriptions: $199 per subscription per month.

1.4 Adding Subscriptions During the Term
Customers may add additional subscriptions at any time during the term.

  • Added subscriptions will be billed at the applicable tiered rate and prorated for the remaining duration of the contract.

  • Example: If 2 subscriptions are added 3 months into a 12-month term, they will be billed for the remaining 9 months.

2. Payment and Renewal

2.1 Payment Terms

  • Payments for fixed-term contracts are due upfront at the start of the subscription period.

  • Payments are non-refundable, except as specified in Section 7.

2.2 Automatic Renewal
This Agreement will automatically renew for the same term and number of subscriptions unless the Customer cancels before the renewal date. Customers can cancel at any time via the “Subscriptions” tab in the Reacher portal to prevent further charges.

2.3 Late Payments
If payment is not received by the due date, Provider reserves the right to:

  • Suspend or terminate access to the Service.

  • Delete user data from the platform until payment is received.

3. Description of Services

3.1 Service Overview
The Service includes access to the Reacher affiliate marketing platform based on the subscription tier purchased. A detailed description of tier-based feature availability can be found on the Reacher website.

3.2 Service Availability
The Service is available 24/7, excluding planned maintenance or unexpected outages.

3.3 Support and Maintenance

  • Support is available via our portal chatbot, with average response times of 5 minutes during normal work hours. Quick responses are not guaranteed.

  • Responses may be delayed on weekends, holidays, and/or off-hours.

  • Planned maintenance and downtime will be communicated at least 48 hours in advance.

4. Data Use and Security

4.1 Data Collection and Usage
Provider collects data necessary to deliver the Service, as outlined in the Privacy Policy.

4.2 Data Security
Customer data is encrypted in transit and at rest.

5. Intellectual Property

5.1 Ownership
Provider retains all proprietary and intellectual property rights to the Service, including software, content, and designs.

5.2 Usage Restrictions
Customers may not copy, reverse-engineer, or redistribute the Service without written authorization.

5.3 Improvements and Feedback
Any feedback or suggestions provided by the Customer may be used by the Provider to enhance the Service.

6. Limitation of Liability

6.1 No Warranties
The Service is provided “as-is” without any warranties, including fitness for a particular purpose.

6.2 Limited Liability

  • Provider’s liability is limited to the amount paid by the Customer in the preceding 3 months.

  • Provider is not liable for any indirect, consequential, or incidental damages resulting from the Service.

6.3 Indemnification
The Customer agrees to indemnify and hold harmless the Provider from any claims, damages, or liabilities arising from the Customer’s use of the Service.

7. Refund and Dispute Policy

7.1 No Refunds
All payments are non-refundable.

7.2 Refund Requests
Refund requests must be submitted in writing and will be considered solely at the written discretion of the Provider's co-founders. No employee or representative of the company, other than the co-founders, is authorized to approve refund requests.

8. Termination

8.1 Termination by Provider
Provider reserves the right to terminate this Agreement immediately if the Customer breaches any terms or fails to make payments.

8.2 Termination by Customer
Customers may terminate this Agreement at the end of the subscription term by providing the required notice.

9. Governing Law and Dispute Resolution

9.1 Governing Law
This Agreement is governed by the laws of the state of Delaware.

9.2 Dispute Resolution
Any disputes will be resolved through arbitration in the state of California. Both parties waive the right to trial by jury.

10. Miscellaneous

10.1 Force Majeure
Provider is not liable for delays or failures in the performance of the Service caused by events beyond its reasonable control, including but not limited to natural disasters, cyberattacks, government actions, strikes, or disruptions in third-party platforms or services. This includes delays or failures caused by TikTok Shop’s actions, policies, or technical issues that impact the Provider’s ability to deliver the Service.

10.2 Entire Agreement
This Agreement constitutes the entire understanding between the parties.

10.3 Amendments
Provider reserves the right to amend this Agreement. Any changes will be communicated to the Customer with at least 30 days’ notice. If the Customer does not agree with the amendment, they may request reconsideration or cancel their subscription within the same 30-day period. If the Customer chooses to cancel, they will not be liable for payments beyond the cancellation date.

11. Subscription Agreement Details

By signing this Agreement, the Customer agrees to all outlined terms and commits to purchase the following subscriptions under the specified terms:

  • The Customer agrees to purchase and pay for subscriptions as selected in the Reacher checkout screen.

  • The subscription term is as selected in the Reacher checkout screen.

The terms and conditions for fixed-term discounts, volume-based pricing (for Pro Plans), and prorated charges for adding subscriptions mid-term are outlined in Sections 1.2, 1.3, and 1.4 of this Agreement.

The total amount, as calculated in the Reacher payment portal, must be paid by the subscription start date and each subsequent payment date for continued service.
